New law published:

The new law transposing the “Mobility Directive” (Directive (EU) 2019/2121) dealing with cross-border conversions, mergers and demergers has been published on February 26, 2025 (the New Law).

Key dates:

The New Law will enter into force on March 2, 2025 with a transitional period ending on March 31, 2025 for current transactions (i.e. those with the draft terms published before April 1 2025). All transactions initiated after April 1, 2025 will fall under the regime of the New Law.
