On 26 November 2024, Etienne de Crépy, Partner in our Corporate and M&A practice in our Luxembourg office, led an insightful training session on Securitization in Luxembourg, organized by Finix Events, titled “Titrisations : Quelles sont les obligations en termes de substance et d’AML ?". 

Etienne’s talk was on the specific topic “ how to implement and structure Luxembourg securitizations in practice? ”, providing guidance on the Luxembourg law of 22 March 2004 on securitization, as modified by the Law of 25 February 2022 and, more recently, on 15 July 2024. He addressed some key issues such as such as structuring deals, managing associated risks, and ensuring compliance with both Luxembourg and international regulations.

Participants gained practical insights into navigating the complex regulatory landscape, including DAC 6, ATAD 3, and the 6th Anti-Money Laundering Directive. 

The session also addressed the necessity to create robust securitization structures to mitigate legal risks, particularly the potential for requalification of transactions and abuse of law, and to ensure full compliance with the applicable regulatory framework.
